We inform you that on 24/12/2024 the merger between SUPER EGGS S.R.L., as the absorbing company, and OVOEST S.R.L., as the absorbed company, became effective, according to the O.N.R.C. Resolution no. 439609 attached herewith.
Thus, the legal personality of OVOEST S.R.L. ceased with the date of registration in the Trade Register of the last decision approving the merger, but its activity is continued by the absorbing company Super Eggs S.R.L., which takes over all the rights and is bound to fulfill all the obligations of the absorbed company.
At the same time, the registered office of the absorbing company SUPER EGGS S.R.L. is changed to the address of the registered office of the absorbed company OVOEST S.R.L., in Comuna Boldur, Sat Boldur, nr. 212A, County Timiș. In Brăila County, SUPER EGGS S.R.L. continues to carry out its activities in its current secondary offices (work points).
The operation of merger by absorption was subject to the publication of an extract from the merger project in the Official Gazette of Romania, Part IV, no. 4430/21.10.2024, being subject to verification and validation by the competent Trade Register Office, which found that the conditions provided for by the legislation in force were met, as well as the compliance with the mandatory obligations incumbent on the participating companies, in this regard being pronounced the Order of the Trade Register Registrar no. 439609/24.12.2024.
În consecință, vă rugăm ca începând cu data efectivă 24/12/2024, în orice adresă, ofertă, factură, comandă, aviz, proces verbal, raport, comunicare, contract, convenție de parteneriat sau generic, în orice act juridic, comercial sau contabil/fiscal pe care îl veți emite către Societatea Absorbită OVOEST S.R.L., să menționați denumirea societății SUPER EGGS S.R.L. și datele sale de identificare pe care le regăsiți în prezenta adresă și cu noua adresă a sediului social.
